The 2006 Cyprus Companies Law in englsh, by Olga Georgiades*

  • Translation of all amendments from 1951 to 2006.
  • Consolidation – The Law appears in the form of a unified text.
  • Exact reference of the Article of the applicable E.U. Directives right under the translated section of the Law.
  • Full text of all relevant E.U. Directives.
  • Index of Company Legislation adopting E.U. Directives.

This Publication is an updated version of the Companies Law, Cap. 113, which originally came inτο force on 16 February, 1951. Ever since, the House of Representatives enacted 23 Amending Laws totalling a number exceeding 250 sub-amendments. The most recent and most extensive amendments harmonised Cap. 113 with the relevant E.U. Company Directives.
The aforementioned amendments were all in the Greek language due to the fact that, since Cyprus’ independence and the formation of the Republic of Cyprus in 1960, all laws are published in the Greek language. As a result, until this publication, there was no existing consolidated version available that incorporated all of the amendments into English.
For the purpose of making the translation of the Greek amendments as precise and authoritative as possible, research was conducted of all relevant Directives of the European Union with which the Republic of Cyprus has sought harmonisation due to Cyprus’ obligations prior and after accession to the European Union. Where possible, the exact text of the specific Article of the applicable European Union Directive appears as a footnote, right under the translated text so that the reader can have a parallel view of E.U. Law.
A yearly subscription service is available whereby readers can receive a consolidated text containing future amendments made to Cap. 113.

European Programmes Guide for Funding (in Greek), by Olga Georgiades* Publication: 2004

Preface: Adrian VAN DER MEER, Ambassador of the European Commission in Cyprus - Published in cooperation with O.E.B. (Cyprus’ Employers and Industrialists Federation):

The European Union has in place a large number of Programmes to allow and stimulate European cooperation & integration in great many areas. Cyprus participates in various Programmes in the field of Employment & Social Affairs, Justice, Research, Development, Technology & Innovation, Environment, Health, Information Society, Culture & Customs, through involvement in the Sixth Framework Programme, Fiscalis, Leonardo, Socrates, Youth for Europe, EUMEDIS, SYNERGY, LIFE, EUROMED, IDA, MEDIA, etc. This Guide serves as a useful point for reference for such Programmes funded by the European Union. It aims at informing interested persons, i.e. researchers, students, government officers, non-profit organizations, private companies & other individuals, in developing projects under E.U. funded Programmes & to help them familiarize with the aims of these Programmes, as well as the types of projects benefiting from structural support.

In order to inform the reader in the best possible manner, this Guide starts with an introduction on the main characteristics of the types of Programmes funded by the E.U. & describes historically Cyprus’ participation in such Programmes & other types of funding. The Guide also aims at outlining the kind of information required for submitting applications, proposals & tenders, & analyses in detail the types of projects eligible for selection by the European Commission, the level of funding offered for a project once selected, as well as the persons & organisations that may take part in a particular project.

The information used for writing this book was collected from various official documents of the European Community & mainly from the legislation of the European Commission, documents of European & other International Organisations related to funding matters, from websites & informational brochures of Cypriot Ministries, organisations & institutions.

Privacy (in English), by Olga Georgiades* Publication: 2005

A user-friendly guide on privacy issues in Cyprus based on EU Law. Foreworded by the Cyprus Data Protection Commissioner. The book examines the risks and obligations when using & storing personal info of clients, contacts, etc. It is addressed to everyone using / accessing personal info: employers, banks, small traders, insurance companies, doctors, lawyers, accountants, hospitals and clinics, Telecom & ISPs, retailers, government departments. Effectively all companies & organisations in general. Personal info involves everyone’s financial situation, political / religious beliefs, race, health, sexuality. This kind of information can give the user power over the person whom the information concerns. Practice has shown this power can be abused. Usage, storage & security of such information must be controlled. However, there is a need to balance the legitimate need of a company / organization to process personal data, i.e.: Employers need to keep personal information about employees to pay their salary, make social security contributions, track their performance and fulfil their other legal & social obligations as employers. Retailers, shop owners & service providers need to advertise their products or services to people likely to be interested in buying them. Having access to personal info saves time & money & leads to competitively priced products for consumers. Personal info is also needed for ordering, making deliveries & for accountancy purposes. Hospitals, clinics & other health care providers must keep information about their patients including full medical records and any other information that has to do with patients' mental and physical health status. This is essential for providing their patients with high quality health care. Financial and credit organisations such as banks & cooperative societies need personal data to minimise the risk of fraud & bad debts. Professionals such as doctors, lawyers and accountants often need personal data in order to give their clients correct advice. At the workplace, employers are concerned about employees devoting work time for personal business – considered to be a problem: trading on the world wide web, internet surfing for private purposes, downloading music & videos as well as gambling. The company may also be exposed as a result of employee action: contractual liability, infringement of intellectual property rights, etc. Another issue is the use of ‘personnel surveillance systems’ allowing employers to monitor workers’ whereabouts, activities, performance, use of time, etc. by electronic recording, video/camera surveillance, time registration, data logging & use of software for monitoring e-mail & internet use.
